Terms of Service - FireNet Designs Inc.
Services
1.1 FireNet Designs Inc. ("FireNet") shall provide the client ("Client") with web design and development services as described in the relevant invoice or statement of work. The scope of services may include, but is not limited to, website design, graphic design, web development, content creation, and related services as agreed upon by both parties.
1.2 FireNet shall use commercially reasonable efforts to deliver the services within the agreed-upon timeline as indicated in the invoice or statement of work.
1.3 Any modifications or changes to the scope of services requested by the Client after commencement of the project may result in additional fees and revised delivery timelines. FireNet will notify the Client of any such changes in writing.
Payment
2.1 Client agrees to make payment for services rendered by FireNet according to the payment terms specified in the invoice or statement of work. Payment terms may include, but are not limited to, upfront payments, milestone-based payments, or payment upon completion of the services.
2.2 Payments not received by the due date may be subject to late fees and interest charges at the maximum rate allowed by law. FireNet reserves the right to suspend or terminate services for non-payment.
Deliverables & Intellectual Property
3.1 Upon receipt of full payment, FireNet grants the Client a non-exclusive, non-transferable license to use the deliverables and intellectual property created as part of the services for the Client's business purposes only.
3.2 FireNet retains all rights, title, and interest in any pre-existing intellectual property or materials used in providing the services. The Client acknowledges that any unauthorized use, distribution, or reproduction of such materials is strictly prohibited.
Disputes & Refunds
4.1 In case of dissatisfaction with the services, the Client must notify FireNet in writing within 14 days of service delivery, outlining the reasons for their dissatisfaction. FireNet will make reasonable efforts to address the Client's concerns and resolve the issue amicably.
4.2 If the Client disputes a credit card charge related to the services provided by FireNet, the Client must provide proof of attempted resolution with FireNet. FireNet reserves the right to contest the chargeback if the Client fails to provide such proof or if FireNet believes the chargeback to be unwarranted.
Limitation of Liability
5.1 FireNet's liability for any claim arising from services provided under this agreement, whether in contract, tort, or otherwise, is limited to the amount paid by the Client for the services giving rise to the claim.
5.2 In no event shall FireNet be liable for indirect, consequential, special, or incidental damages, including but not limited to lost profits, loss of data, or business interruption, arising out of or in connection with the services provided under this agreement.
Governing Law & Dispute Resolution
6.1 This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which FireNet is located, without regard to its conflict of law provisions.
6.2 Any disputes arising out of or in connection with this agreement shall be resolved through good faith negotiations between the parties. If the parties cannot resolve the dispute within thirty (30) days, either party may initiate legal proceedings in the appropriate court located in FireNet's jurisdiction.
By engaging FireNet Designs Inc. and making payment for services, the Client acknowledges and accepts these Terms of Service.
