Thank you for choosing FireNet Designs Inc. (“FireNet”). By engaging our services, paying an invoice, signing a proposal, or continuing work with us, you (“Client”) agree to the following Terms of Service.
Our goal is to make this simple, clear, and fair for both of us.
1.1 FireNet will provide design, development, consulting, and related digital services as outlined in your invoice, proposal, or Statement of Work (“Services”).
1.2 We’ll use commercially reasonable efforts to deliver Services within the estimated timeline. Timelines may shift if requirements change or Client delays occur.
1.3 Any changes to scope, features, or deliverables may result in additional fees and timelines. FireNet will always communicate such changes in writing.
2.1 Client agrees to pay invoices according to the payment terms listed on the invoice or Statement of Work.
2.2 Payments not received by the due date are considered overdue.
2.3 Overdue amounts bear interest at 1% per month, compounded monthly (19.56% annually) or the maximum allowed by Manitoba law.
2.4 FireNet may pause Services, withhold deliverables, or delay work if payment is not received.
2.5 All fees are exclusive of taxes. Client is responsible for all applicable taxes.
To keep things simple and transparent:
3.1 If an invoice remains unpaid after reasonable reminders, FireNet may send the account to a third-party collections agency.
3.2 Client agrees to pay all costs of collection, including:

3.3 Interest will continue to accrue until the invoice is paid in full.
4.1 If Client disputes, reverses, or cancels a payment without first attempting to resolve the issue with FireNet, the outstanding amount will be treated as overdue.
4.2 FireNet reserves the right to contest any chargeback and provide proof of Services delivered.
4.3 Any fees associated with chargebacks or returned payments (e.g., bank fees, penalties) will be billed to the Client.
5.1 Upon full payment, FireNet grants the Client a non-exclusive, non-transferable license to use the final deliverables for their business purposes.
5.2 FireNet retains ownership of all:
used during the project (“Background IP”).
5.3 FireNet grants a limited license to use any Background IP included in the deliverables solely for the operation of the Client’s project.
5.4 Unauthorized reproduction, resale, or distribution of FireNet’s work is prohibited.
6.1 Revision rounds included (if any) will be outlined in the proposal or Statement of Work.
6.2 Delays in feedback or approvals from the Client may impact timelines.
6.3 Time spent waiting for approvals may be billed where applicable.
7.1 FireNet’s total liability for any claim is limited to the amount paid by the Client for the specific Services in question.
7.2 FireNet is not liable for indirect, consequential, or incidental damages, including loss of revenue, data, or business interruption.
7.3 FireNet is not responsible for third-party outages or issues outside our control (Shopify, Webflow, hosting, apps, APIs, etc.).
8.1 Client agrees that email communication is valid and sufficient for:

These Terms are governed by the laws of the Province of Manitoba, Canada. Any disputes will be handled in the courts located in Winnipeg, Manitoba.
